Terms & Conditions

These Terms & Conditions ("Terms") govern access to MarketFuel.co and the products and services offered by MarketFuel ("MarketFuel," "we," "us," or "our").

By accessing our website, purchasing our services, submitting an order, executing an insertion order or service agreement, or otherwise doing business with MarketFuel, you agree to these Terms and any additional written agreement applicable to your purchase.

1. MarketFuel Services

MarketFuel provides business-to-business marketing services that may include lead generation, consumer and business data, marketing lists, customer-acquisition services, audience development, data enhancement, data validation, advertising services, marketing campaign services, and related technology and consulting services.

Specific services, pricing, quantities, targeting criteria, delivery requirements, replacement policies, and other terms may be established in an insertion order, order form, invoice, email agreement, statement of work, or other written agreement.

If an executed written agreement conflicts with these Terms, the executed agreement will control with respect to that conflict.

2. Business Use

MarketFuel's commercial lead and data services are intended primarily for legitimate business purposes. Customers represent that they will use MarketFuel's products and services only for lawful purposes and in accordance with applicable laws, regulations, industry requirements, and contractual restrictions.

3. Customer Responsibilities

Customers are solely responsible for their use of leads, data, and other information supplied by MarketFuel.

Customers are responsible for determining whether their intended marketing activities comply with applicable requirements, including those relating to telephone marketing, text messaging, automated communications, email marketing, consumer privacy, advertising, licensing, industry-specific solicitation, do-not-call requirements, consent requirements, and data security.

MarketFuel does not provide legal advice concerning a customer's particular marketing campaign.

4. Lead and Data Characteristics

Unless expressly agreed otherwise in writing, MarketFuel does not guarantee that any particular lead will answer a telephone call, respond to an email or text, purchase a product or service, complete an application, qualify for a customer's product, become a customer, or generate revenue.

Lead-generation and marketing results vary based upon numerous factors outside MarketFuel's control.

Data may change over time, and MarketFuel does not guarantee that every data element will remain accurate, complete, or current after delivery.

5. Targeting and Orders

Customers are responsible for reviewing and approving targeting criteria before an order or campaign begins.

Changes to targeting requirements after a campaign has started may require additional fees, revised pricing, or a new order.

MarketFuel may reject or discontinue any campaign that it believes creates legal, regulatory, reputational, technical, or operational risk.

6. Delivery

Lead and data delivery may occur through email, CSV or other files, API, CRM integration, webhook, secure file transfer, or other agreed delivery methods.

Delivery is considered completed when MarketFuel transmits the applicable records to the delivery destination designated by the customer.

Customers are responsible for maintaining accurate delivery credentials and ensuring their systems can receive the purchased information.

7. Pricing and Payment

Pricing may vary based upon product, vertical, volume, targeting, exclusivity, age, geography, delivery method, and other criteria.

Unless otherwise agreed in writing, invoices are payable according to the payment terms stated on the applicable invoice or order.

MarketFuel may require prepayment or deposits before beginning or continuing a campaign. Failure to make payment when due may result in suspension or termination of services.

8. Refunds, Credits, and Replacements

Unless otherwise stated in a written order or agreement, purchases of leads, data, and custom marketing services are final.

MarketFuel may establish product-specific replacement or credit policies. To qualify for review, disputes concerning allegedly invalid records must be submitted within the time period specified for the applicable product and must include sufficient information for MarketFuel to investigate the claim.

Records will not ordinarily qualify for replacement merely because a prospect does not answer, is not interested, changes their mind, does not qualify under criteria not provided to MarketFuel, or does not purchase the customer's product or service.

Any approved credit or replacement is subject to the applicable campaign agreement.

9. Compliance

MarketFuel expects customers, suppliers, publishers, and marketing partners to comply with applicable laws and regulations.

Depending upon the campaign, applicable requirements may include federal and state privacy, telemarketing, advertising, email, and consumer-protection laws.

Customers must independently determine the laws applicable to their particular business and marketing activities.

10. Restrictions on Use

Customers may not use MarketFuel products or services for unlawful purposes, to commit fraud, to harass or deceive consumers, in violation of applicable privacy rights, in violation of applicable marketing or communications laws, to misrepresent identity or affiliation, or in any manner prohibited by an applicable order or agreement.

MarketFuel may immediately suspend service if it reasonably believes its products or services are being misused.

11. Intellectual Property

The MarketFuel name, website, branding, designs, content, software, processes, and other proprietary materials are owned by MarketFuel or its licensors and are protected by applicable intellectual-property laws. No rights are granted except as expressly provided in writing.

12. Confidentiality

Non-public pricing, targeting strategies, data specifications, business processes, technical information, customer information, and other proprietary information disclosed in connection with MarketFuel services may constitute confidential information.

Each party agrees to use reasonable measures to protect confidential information received from the other party and to use it only for legitimate purposes related to the business relationship.

13. Third-Party Sources

Certain leads, data, technology, or marketing services may originate from or involve third-party providers, publishers, platforms, or partners. MarketFuel is not responsible for failures caused solely by third-party systems or services outside MarketFuel's reasonable control.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARKETFUEL'S WEBSITE, DATA, LEADS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

MARKETFUEL DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED IN A WRITTEN AGREEMENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARKETFUEL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, OR LOSS OF DATA.

UNLESS OTHERWISE REQUIRED BY LAW OR AGREED IN WRITING, MARKETFUEL'S AGGREGATE LIABILITY ARISING FROM A PARTICULAR ORDER OR SERVICE WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO MARKETFUEL FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

16. Indemnification

To the extent permitted by law, customers agree to defend, indemnify, and hold harmless MarketFuel and its officers, employees, contractors, and affiliates from claims, damages, liabilities, penalties, costs, and reasonable attorneys' fees arising from the customer's use of MarketFuel leads or data, the customer's marketing activities, the customer's violation of applicable law, the customer's violation of these Terms, the customer's products or services, or communications initiated by or on behalf of the customer.

17. Suspension and Termination

MarketFuel may suspend or terminate access to services for nonpayment, suspected fraud, misuse, compliance concerns, breach of an agreement, or other material business or legal risks. Obligations that by their nature should survive termination will remain in effect.

18. Changes to These Terms

MarketFuel may modify these Terms periodically. The updated version will be posted on MarketFuel.co with a revised "Last Updated" date. Continued use of the website or services after an update constitutes acceptance to the extent permitted by applicable law.

19. Governing Law

These Terms will be governed by the laws of the State of Florida, without regard to conflict-of-law principles, unless a separate written agreement provides otherwise.
